CURBSIDE PIVOT TERMS OF SERVICE

By signing up for a Curbside Pivot Account (as defined in Section 1) or by using any Curbside Pivot Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms of Service”). As used in these Terms of Service, “we”, “us” and “Curbside Pivot” means the applicable Service Provider (as defined above).

The services offered by Curbside Pivot under the Terms of Service include various products and services to help you sell goods and services to buyers, whether online (“Online Services”), in person (“In-Person Services”), or both. Any such services offered by Curbside Pivot are referred to in these Terms of Services as the “Services”. Any new features or tools which are added to the current Services shall be also subject to the Terms of Service. 

You must read, agree with and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, before you may sign up for a Curbside Pivot  or use any Curbside Pivot Service.

1. ACCOUNT TERMS

  1. To access and use the Services, you must register for a Curbside Pivot account (“Account”) by providing your legal business name, current address, phone number, a valid email address, and any other information indicated as required. Curbside PIvot may reject your application for an Account, or cancel an existing Account, for any reason, in our sole discretion.
  2. You must be the older of: (i) 18 years, or (ii) at least the age of majority in the jurisdiction where you reside and from which you use the Services to open an Account.
  3. You confirm that you are receiving any Services provided by Curbside Pivot for the purposes of carrying on a business activity and not for any personal, household or family purpose.
  4. You acknowledge that Curbside PIvot will use the email address you provide on opening an Account or as updated by you from time to time as the primary method for communication with you.
  5. You are responsible for keeping your password secure. Curbside PIvot cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.
  6. You are responsible for all activity and content such as photos, images, videos, graphics, written content, audio files, code, information, or data uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on or in connection with your Account (“Materials”).
  7.  A breach or violation of any term in the Terms of Service, as determined in the sole discretion of Curbside PIvot may result in an immediate termination of your Services 

2. ACCOUNT ACTIVATION

2.1 Store Owner

  1. Subject to section 2.1(2), the person signing up for the Service by opening an Account will be the contracting party (“Store Owner”) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding Account we may provide to the Store Owner in connection with the Service.
  2. If you are signing up for the Services on behalf of your employer, your employer shall be the Store Owner. If you are signing up for the Services on behalf of your employer, then you must use your employer-issued email address and you represent and warrant that you have the authority to bind your employer to our Terms of Service.
  3. Your Curbside Pivot Store can only be associated with one Store Owner. A Store Owner may have multiple Curbside Pivot Stores. “Store” means the online store or physical retail location(s) associated with the Account.

2.2 Staff Accounts

  1. You can create one or more staff accounts (“Staff Accounts”) allowing other people to access the Account. With Staff Accounts, the Store Owner can set permissions and let other people work in their Account while determining the level of access by Staff Accounts to specific business information (for example, you can limit Staff Account access to sales information on the Reports page or prevent Staff Accounts from changing general store settings).
  2. The Store Owner is responsible and liable for the acts, omissions and defaults arising from use of Staff Accounts in the performance of obligations under these Terms of Service as if they were the Store Owner’s own acts, omissions or defaults.
  3.  The Store Owner and the users under Staff Accounts are each referred to as a “Curbside Pivot Users”.

2.3 Stripe Connect

Upon completion of sign up for the Service, Curbside Pivot will create a Stripe Connect account on your behalf, using your email address. 

  1. You acknowledge that stripe connect will be your default payments gateway(s) and that it is your sole responsibility as the Store Owner to activate and maintain these accounts. If you do not wish to keep either of the payment accounts active, it is your responsibility to deactivate them. For the avoidance of doubt, Stripe Connect Account is a Third Party Service, as defined in Section 16 of these Terms of Service.

2.3 Domain Names

  1. Upon purchasing a domain name through Curbside Pivot, domain registration will be preset to automatically renew each year so long as your Curbside Pivot account remains active. Upon deactivation of your account, you may purchase the domain name from Curbside Pivot for CAD $75+hst.

3. GENERAL CONDITIONS

You must read, agree with and accept all of the terms and conditions contained in these Terms of Service, before you become a Curbside Pivot user.

  1. Technical support in respect of the Services is only provided to Curbside Pivot Users.
  2. The Terms of Service shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to principles of conflicts of laws. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms of Service and is hereby expressly excluded.
  3. You may not use the Curbside Pivot Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws), the laws applicable to you in your customer’s jurisdiction, or the laws of Canada and the Province of Ontario. You will comply with all applicable laws, rules and regulations in your use of the Service and your performance of obligations under the Terms of Service.
  4. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Services, or access to the Services without the express written permission by Curbside Pivot.
  5. You shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use Curbside Pivot and/or variations and misspellings thereof.
  6. You understand that your Materials (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks using the Stripe Platform.
  7. The Services allow you to send certain communications to your customers by short message service (SMS) messaging (for example, sending order confirmation notifications via SMS). You will only use the SMS Services in compliance with these Terms of Service, ClickSend’s Acceptable Use Policy, and the laws of the jurisdiction from which you send messages, and in which your messages are received.
  8. All the terms and provisions of the Terms of Service shall be binding upon and inure to the benefit of the parties to the Terms of Service and to their respective heirs, successors, permitted assigns and legal representatives. Curbside Pivot shall be permitted to assign these Terms of Service without notice to you or consent from you. You shall have no right to assign or otherwise transfer the Terms of Service, or any of your rights or obligations hereunder, to any third party without Curbside Pivot’s prior written consent, to be given or withheld in Curbside Pivot’s sole discretion.
  9. Sections 1, 3(2)-(5), 4, 6-8, 13-14, 16(9)-(11), 18, 20 and 21 will survive the termination or expiration of these Terms of Service.

4. CONTRACTING PARTY

  1. “Curbside Pivot Contracting Party” means The UrbanRoom Investment Group In, a Canadian corporation, with offices located at 181 Simcoe Street East, Hamilton, ON
  2. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Ontario with respect to any dispute or claim arising out of or in connection with the Terms of Service.

5. CURBSIDE PIVOT RIGHTS

  1. We reserve the right to modify or terminate the Services for any reason, without notice at any time. Not all Services and features are available in every jurisdiction and we are under no obligation to make any Services or features available in any jurisdiction.
  2. We reserve the right to refuse service to anyone for any reason at any time.
  3. We may, but have no obligation to, remove Materials and suspend or terminate Accounts if we determine in our sole discretion that the goods or services offered via a Store, or the Materials uploaded or posted to a Store, violate these Terms of Service.
  4. Verbal or written abuse of any kind (including threats of abuse or retribution) of any Curbside Pivot customer, Curbside Pivot employee, member, or officer will result in immediate Account termination. 5. Curbside PIvot does not pre-screen Materials and it is in our sole discretion to refuse or remove any Materials from the Service, including your Store.
  5. We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Curbside Pivot employees and contractors may also be Curbside PIvot customers/merchants and that they may compete with you, although they may not use your Confidential Information (as defined in Section 6) in doing so.
  6. In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm Account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, your status as an employee of an entity, etc
  7. Curbside PIvot retains the right to determine, in our sole judgment, rightful Account ownership and transfer an Account to the rightful Store Owner. If we are unable to reasonably determine the rightful Store Owner, without prejudice to our other rights and remedies, Curbside Pivot reserves the right to temporarily disable an Account until resolution has been determined between the disputing parties.

6. CONFIDENTIALITY

  1.  “Confidential Information” shall include, but shall not be limited to, any and all information associated with a party’s business and not publicly known, including specific business information, technical processes and formulas, software, customer lists, prospective customer lists, names, addresses and other information regarding customers and prospective customers, product designs, sales, costs (including any relevant processing fees), price lists, and other unpublished financial information, business plans and marketing data, and any other confidential and proprietary information, whether or not marked as confidential or proprietary. Curbside Pivot’s Confidential Information includes all information that you receive relating to us, or to the Services, that is not known to the general public including information related to our security program and practices.
  2.  Each party agrees to use the other party’s Confidential Information solely as necessary for performing its obligations under these Terms of Service and in accordance with any other obligations in these Terms of Service including this Section 6. Each party agrees that it shall take all reasonable steps, at least substantially equivalent to the steps it takes to protect its own proprietary information, to prevent the duplication, disclosure or use of any such Confidential Information, other than
    1. by or to its employees, agents and subcontractors who must have access to such Confidential Information to perform such party’s obligations hereunder, who each shall treat such Confidential Information as provided herein, and who are each subject to obligations of confidentiality to such party that are at least as stringent as those contained herein; or 
    2. (ii) as required by any law, regulation, or order of any court of proper jurisdiction over the parties and the subject matter contained in these Terms of Service, provided that, if legally permitted, the receiving party shall give the disclosing party prompt written notice and use commercially reasonable efforts to ensure that such disclosure is accorded confidential treatment. Confidential Information shall not include any information that the receiving party can prove: 
      • was already in the public domain, or was already known by or in the possession of the receiving party, at the time of disclosure of such information; 
      • is independently developed by the receiving party without use of or reference to the other party’s Confidential Information, and without breaching any provisions of these Terms of Service; or 
      • is thereafter rightly obtained by the receiving party from a source other than the disclosing party without breaching any provision of these Terms of Service.

7. LIMITATION OF LIABILITY

  1. You expressly understand and agree that, to the extent permitted by applicable laws, Curbside Pivot shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service.
  2.  To the extent permitted by applicable laws, in no event shall Curbside PIvot or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (however arising including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Curbside Pivot partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or your violation of any law or the rights of a third party.
  3. Your use of the Services is at your sole risk. The Services are provided on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory.
  4. Curbside Pivot does not warrant that the Services will be uninterrupted, timely, secure, or error-free.
  5. Curbside Pivot does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.
  6. Curbside Pivot does not warrant that the quality of any products, services, information, or other materials purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.

8. WAIVER & COMPLETE AGREEMENT

The failure of Curbside Pivot to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service, including the documents it incorporates by reference, constitute the entire agreement between you and Curbside Pivot and govern your use of the Services and your Account, superseding any prior agreements between you and Curbside Pivot (including, but not limited to, any prior versions of the Terms of Service).

9. PAYMENT OF FEES

  1. You will pay the subscription fees relating to the value of sales made through your Store (‘Subscription Fee’), any Stripe payment processing fees relating to the value of sales you made through your store (“Transaction Fees”), and any fees relating to your purchase or use of any products or services such as websites, domain names,, or Third Party Services including Curbside Booths (“Additional Fees”). Together, the Subscription Fees, Transaction Fees and the Additional Fees are referred to as the “Fees. 
  2. Subscription fees: 5% of pre-tax revenue minus gratuities +hst. Transaction Fees: 2.9% of all sales + 0.30 per transaction (Charged by Stripe) on the first $30,000CAD of pre-tax sales per calendar month, 1.5% + 0.30 per transaction there after.
  3. Transfers: Transfers will be sent via direct deposit on a weekly cycle. Payments processed weekly on Mondays, payments may take up to 10 business days to arrive in your account. A summary, sales report, bank fee and invoice / receipt will be emailed weekly.
  4. You are responsible for all applicable Taxes that arise from or as a result of your subscription to or purchase of Curbside Pivot’s products and services. To the extent that Curbside Pivot charges these Taxes, they are calculated using the tax rates that apply based on the billing address you provide to us. Such amounts are in addition to the Fees for such products and services and will be billed to your Authorized Payment Method. If you are exempt from payment of such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate that satisfies applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from and after the date we receive evidence satisfactory to Curbside PIvot of your exemption. If you are not charged Taxes by Curbside PIvot, you are responsible for determining if Taxes are payable, and if so, self-remitting Taxes to the appropriate tax authorities in your jurisdiction
  5. For the avoidance of doubt, all sums payable by you to Curbside PIvot under these Terms of Service shall be paid free and clear of any deductions or withholdings whatsoever. Other than Taxes charged by Curbside Pivot to you and remitted to the appropriate tax authorities on your behalf, any deductions or withholdings that are required by law shall be borne by you and paid separately to the relevant taxation authority. Curbside PIvcot shall be entitled to charge the full amount of Fees stipulated under these Terms of Service to your Authorized Payment Method ignoring any such deduction or withholding that may be required.
  6. Curbside Pivot does not provide refunds.

  10. CANCELLATION & TERMINATION 

  1. You may cancel your Account and terminate the Terms of Service at any time by contacting Curbside Pivot Support and then following the specific instructions indicated to you in Curbside Pivot’s response. 
  2. Upon termination of the Services by either party for any reason: a .Curbside Pivot will cease providing you with the Services and you will no longer be able to access your Account; b. unless otherwise provided in the Terms of Service, you will not be entitled to any refunds of any Fees, pro rata or otherwise; c. any outstanding balance owed to Curbside Pivot for your use of the Services through the effective date of such termination will immediately become due and payable in full; and d. your Store website will be taken offline
  3. If you purchased a domain name through Curbside Pivot, upon cancellation your domain will no longer be automatically renewed. You may purchase the domain for $75 CAD from Curbside PIvot, Following termination & transfer it will be your sole responsibility to handle all matters related to your domain with the domain provider.
  4. If at the date of termination of the Service, there are any outstanding Fees owing by you, you will receive one final invoice via email. Once that invoice has been paid in full, you will not be charged again.
  5. Fraud: Without limiting any other remedies, Curbside Pivot may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the use of the Services.

11. MODIFICATIONS OF THE SERVICES & PRICES

  1. Prices for using the Services are subject to change upon 30 days’ notice from Curbside Pivot. Such notice may be provided at any time by posting the changes to the Curbside Pivot Site or via an announcement.
  2. Curbside PIvot reserves the right at any time, and from time to time, to modify or discontinue, the Services (or any part thereof) with or without notice.
  3. Curbside PIvot shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

12. RIGHTS OF THIRD PARTIES

Save for Curbside Pivot and its affiliates, Curbside Pivot Users or anyone accessing Curbside Pivot Services pursuant to these Terms of Service, unless otherwise provided in these Terms of Service, no person or entity who is not a party to these Terms of Service shall have any right to enforce any term of these Terms of Service, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, this shall not affect the rights of any permitted assignee or transferee of these Terms.

This Privacy Policy is designed to help you understand (i) what information we collect from visitors to our websites or through our marketing channels; (ii) how we use such information at Curbside Pivot, and (iii) the choices you have associated with that information. In our mission to make restaurant experiences better for everyone at Curbside Pivot, we collect and use information about you, our merchants using Curbside Pivot to power your business, customers who shop at a Curbside Pivot & partners who develop apps, build stores on behalf of merchants, refer potential businesses to Curbside Pivot, or otherwise help merchants operate or improve their Curbside Pivot business This Privacy Policy will help you better understand how we collect, use, and share your personal information. If we change our privacy practices, we may update this privacy policy. If any changes are significant, we will let you know via email or updates to this page 1. Information We Collect and Receive We collect several different types of information, including: Customer Account and Registration Data: This includes information you provide to create your account with us or register for events and may include, first and last name, billing information, a password, valid email address, phone number and mailing address. Service Data (including Session and Usage data): When you visit use our platform and Services, we receive information either voluntarily entered by you or others, or passively logged by the website or Service itself, We may also collect usage and log data about how the Services are accessed and used, including information about the device you are using to access the Services, IP addresses, location information, language settings, what operating system you are using, unique device identifiers and other diagnostic data to help us support and improve upon the Services. Location Information: We collect your location-based information for the purpose of providing and supporting the Service and for fraud prevention and security monitoring. Device Information: When you use our online and mobile Services, we may automatically collect information about the type of device you use, for example, the operating system version or the device identifier (or "UDID"). 2. How We Use the Information We Collect and Receive Curbside Pivot may access and use the data we collect as necessary: (a) to provide and operate Services; (b) to address and respond to service, security, and customer support issues; (c) to detect, prevent, or otherwise address fraud, security, unlawful, or technical issues; (d) as required by law; (e) to fulfill our contracts; (f) to improve and enhance the Services; and/or (g) to provide analysis or valuable information back to our customers and users. Some specific examples of how we use the information: ● Create and administer your account ● Send you an order confirmation ● Facilitate and improve the usage of the Services you have ordered ● Assess the needs of your business to determine suitable products ● Send you product updates, marketing communication, and service information ● Respond to customer inquiries and support requests ● Conduct research and analysis ● Display content based upon your interests ● Analyze data, including through automated systems and machine learning to improve our Services and/or your experience ● Provide you & customers information about your use of the Services and benchmarks, insights and suggestions for improvements Curbside Pivot also collects and stores event attendee information to fulfill our obligation to our customers and provide the Services. With their consent or under their instructions, we may also directly provide product and other Curbside Pivot related information to customers. Curbside Pivot will retain your information, under a lawful basis, as long as your account with us is active, to comply with our legal obligations, to resolve disputes, and enforce our agreements. Curbside Pivot Privacy Agreement Page 2 If you wish to cancel your account or for us to stop providing you Services, or if we hold personal information about you and you want it to be removed from our database or de-activated, please contact us at support@curbsidepivot.com 4. Information Sharing Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this Privacy Policy. We may share your personal information with: (a) third party service providers; (b) business partners; (c) affiliated companies within our corporate structure; and (d) as needed for legal purposes. Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy. These transfers to subsequent third parties are covered by appropriate transfer agreements such as the EU Model Clauses. Examples of how we may share information with service providers include: ● Fulfilling orders and providing the Services ● Payment processing and fraud prevention ● Providing customer support ● Sending marketing communications ● Conducting research and analysis ● Providing cloud computing infrastructure Examples of how we may disclose data for legal reasons include: ● As part of a merger, sale of company assets, financing or acquisition of all or a portion of our business by another company where customer information will be one of the transferred assets. ● As required by law, for example, to comply with a valid subpoena or other legal process; when we believe in good faith that disclosure is necessary to protect our rights, or to protect your safety (or the safety of others); to investigate fraud; or to respond to a government request. 5. Communicating Curbside Pivot may need to communicate with you for a variety of different reasons, including: ● Responding to your questions and requests. If you contact us with a problem or question, we will use your information to respond. ● Sending you important transactional and/or administrative emails and messages about Services that you use. We may contact you to inform you about changes in our Services, our Service offerings, and important Service-related notices, such as billing, security and fraud notices. These emails and messages are considered a necessary part of the Services and you may not opt-out of them. ● Sending emails about Curbside Pivot news or products that we think you’d like to hear about Curbside Pivot Privacy Agreement Page 3 either from us or our business partners, in each case, under a legitimate business interest and/or based upon your request. If you are not interested in receiving these communications, you can always opt out of these types of messages at any time by clicking the unsubscribe link at the bottom of each communication or by following the instructions at Section 7 and/or Section 12 of this Privacy Policy. ● Conducting surveys. We may use the information gathered in the surveys to enhance and personalize our products, Services, and websites. ● Offering referral programs and incentives, which allow you to utilize email, text, or URL links that you can share with friends or colleagues. 6. Security We work tirelessly to protect your information, and to ensure the security and integrity of our platform. However, we all know that no method of transmission over the Internet, and method of electronic storage, can be 100% secure. This means we cannot guarantee the absolute security of your personal information. 7. Your Rights and Choices Our customers can always review, update or change personal information from within their account or by contacting us. Curbside Pivot will also, when you request, provide you with information about the types of information we process about you and whether we hold, or process on behalf of a third party, any of your personal information. You may have the right to a copy of your personal information in machine-readable format. You can also ask about: ● whether and why we have your personal information; ● how we obtained your personal information; ● what we have done with your personal information; ● to whom we have communicated your personal information; ● where your personal information has been stored, processed or transferred; ● how long we will retain your personal information or how that retention period will be determined; and ● the safeguards in place to protect your information when it is transferred to third parties or third countries. Finally, you can ask us: (a) not to collect or use your personal information for certain purposes; (b) to delete your personal information; or (c) to provide your personal information to a third party. We may also collect information on behalf of our customers, to provide the Services, and we may not have a direct relationship with the individuals whose personal data is processed. If you are a customer or end-user of one of our customers, please contact them (as the data controller or legal Curbside Pivot Privacy Agreement Page 4 equivalent) directly with any of these requests. Depending on which laws apply to your personal information, we may only be able to fulfill some of the above requests for you. If you make a request and we have a justified lawful reason to maintain your information (e.g., legal and audit purposes), we will explain your legal rights, the reason we are maintaining such information and, if applicable, any recourse you may have. We will respond to your request without undue delay, but in any event within thirty (30) days. We reserve the right to take reasonable steps to verify your identity prior to granting access or processing changes or corrections. 11. Children’s Privacy Curbside Pivot’s webpages are intended for general audiences – we do not seek through this site to gather personal data from or about persons that are sixteen (16) years of age or younger. If you inform us or we otherwise become aware that we have unintentionally received personal information from an individual under the age of sixteen (16), we will delete this information from our records. 12. Changes to this Statement/Contact Us We may update this Privacy Policy to reflect changes to our information practices. If we make any material changes that have a substantive and adverse impact on your privacy, we will provide notice on this website and notify you by email (sent to the e-mail address specified in your account) for your approval prior to the change becoming effective.
